Terms of Service — tecsxpert

These Terms of Service ("Terms") govern your access to and use of the tecsxpert GRC platform, managed services, and associated websites (collectively, the "Services") provided by Tecsxpert Technologies Private Limited ("tecsxpert", "we", "us", or "our").

By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

1. Acceptance and Eligibility

You must be at least 18 years old and legally authorised to enter into contracts to use the Services. By creating an account or accessing the Services, you confirm that you meet these requirements.

2. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately at security@tecsxpert.com of any unauthorised access to your account.

3. Licence to Use the Services

Subject to these Terms and payment of applicable fees, tecsxpert grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes during the subscription term.

You may not:

Sublicense, resell, or redistribute the Services without written authorisation from tecsxpert.
Reverse engineer, decompile, or disassemble any part of the Services.
Use the Services to develop a competing product.
Use the Services in a way that violates applicable laws or these Terms.

4. Subscription Plans and Payment

Access to the platform is provided on a subscription basis. Fees are as specified in your order or on our pricing page. Subscriptions auto-renew unless cancelled before the renewal date. All fees are non-refundable except as required by applicable law or as expressly stated in our refund policy. We reserve the right to change pricing with 30 days' written notice for existing subscriptions.

5. Your Data and Confidentiality

You retain ownership of all data, content, and information you upload to the Services ("Customer Data"). You grant tecsxpert a limited licence to process Customer Data solely to provide the Services. We treat Customer Data as confidential and will not access it except to provide the Services, respond to support requests, or as required by law. Our handling of Customer Data is further governed by our Data Processing Agreement (DPA).

6. Acceptable Use

You agree not to use the Services to:

Upload or transmit malicious code, viruses, or harmful content.
Conduct unauthorised security testing on third-party systems.
Engage in any activity that disrupts or interferes with the Services.
Violate any applicable law, including data protection and export control laws.
Misrepresent your identity or affiliation.

7. Intellectual Property

tecsxpert and its licensors own all rights, title, and interest in the Services, including all software, algorithms, documentation, and content (excluding Customer Data). Nothing in these Terms transfers any intellectual property rights to you. Feedback or suggestions you provide about the Services may be used by tecsxpert without obligation to you.

8. Warranties and Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECSXPERT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR MEET YOUR SPECIFIC REQUIREMENTS.

The Services are designed to support your compliance and security programmes, but do not constitute legal, regulatory, or professional advice. Compliance outcomes depend on many factors beyond our control. tecsxpert is not responsible for your organisation's compliance with any law or regulation.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TECSXPERT'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL TECSXPERT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

You agree to indemnify and hold harmless tecsxpert, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including legal fees) arising from your use of the Services, violation of these Terms, or violation of any third-party rights.

11. Term and Termination

These Terms remain in effect for the duration of your subscription. Either party may terminate for material breach with 30 days' written notice if the breach is not cured within that period. tecsxpert may suspend or terminate your access immediately for violation of the Acceptable Use Policy or non-payment. Upon termination, your right to use the Services ceases, and we will provide access to your Customer Data for export for 30 days.

12. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India. For EU customers, mandatory consumer protection laws of your country of residence apply in addition to these Terms.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified with at least 30 days' notice by email or in-platform notification. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
